Agreement and acceptance.
These Terms of Service (the “Terms”) constitute a legally binding agreement between you (whether personally or on behalf of an entity) and Orygn LLC (“Orygn,” “we,” “us,” or “our”) governing your access to and use of DiligenceDesk (the “Service”), available at diligencedesk.orygn.tech.
By accessing or using the Service, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
What DiligenceDesk is.
DiligenceDesk is a free, browser-accessible tool that aggregates publicly available federal data sources for the purpose of vendor due diligence and compliance research. The Service queries SAM.gov entity registration and exclusions, the U.S. Department of Labor Wage and Hour Division enforcement records, OSHA inspection records, the U.S. Department of Commerce ITA Consolidated Screening List, USAspending.gov federal award history, SEC EDGAR filings, GLEIF Legal Entity Identifier records, NIST National Vulnerability Database CVE data, and a Section 889 prohibited-manufacturer hardware registry.
The Service produces a unified verdict (PASS, WARNING, FAIL, or NEUTRAL) with supporting evidence. The verdict is informational. It is not a federal agency determination, a legal opinion, a credit-reporting product, or a substitute for human review. No government affiliation.
Orygn LLC is a private Texas company. DiligenceDesk reads from public federal data sources but is not endorsed, sponsored, certified, or otherwise affiliated with the United States Government or any of its agencies, divisions, or contractors. Use of the Service does not establish any contractual or agency relationship with the United States Government. Federal data accessed through the Service remains subject to the terms and accuracy disclaimers published by the originating agency.
Eligibility and accounts.
You must be at least eighteen (18) years old to use the Service. By using the Service you represent that you are of legal age in your jurisdiction and have the legal capacity to enter into these Terms.
The Service does not require an account. There is no registration, no password, and no user profile. Your audit history is stored locally in your own browser and is not synchronized to our servers. See the Privacy Policy for details on local storage and what limited request metadata Orygn or our hosting providers may process.
Permitted and prohibited use.
You may use the Service for any lawful business or research purpose, including vendor verification, supply-chain risk assessment, federal procurement diligence, journalism, academic research, and personal compliance work.
You may not use the Service to:
- Make eligibility determinations for credit, insurance, employment, housing, or any other purpose covered by the Fair Credit Reporting Act (15 U.S.C. § 1681 et seq.). DiligenceDesk is not a consumer reporting agency and the Service is not a consumer report. See Section 6.
- Harass, threaten, defame, intimidate, or stalk any individual or entity.
- Scrape, mirror, harvest, or systematically extract data from the Service through automated means, except through the public APIs Orygn explicitly publishes for that purpose.
- Bypass, disable, or circumvent any rate limit, Cloudflare Turnstile challenge, replay-protection mechanism, or other security control.
- Reverse engineer, decompile, or disassemble any non-open-source portion of the Service, or attempt to derive source code or trade secrets from the deployed application.
- Use the Service in violation of any applicable U.S. federal, state, or local law, including export-control regulations administered by OFAC, BIS, or DDTC.
- Misrepresent the Service or its output as a federal agency product, certification, or determination.
You also agree to comply with the terms of service and acceptable-use policies of every upstream federal data source whose output you redistribute, including SAM.gov, data.dol.gov, OSHA enforcement data, USAspending.gov, SEC EDGAR, the ITA Consolidated Screening List, GLEIF, and the NIST National Vulnerability Database.
No FCRA-permissible-purpose use.
DiligenceDesk is not a consumer reporting agency as defined by the Fair Credit Reporting Act, and the information provided by the Service is not a consumer report. You may not use the Service, in whole or in part, to make any decision regarding consumer credit, insurance underwriting, employment screening, tenant screening, or any other purpose for which a consumer report would be required under the FCRA.
The Service is built for business-entity due diligence. Any individual names that appear in federal exclusion records, sanctions lists, or enforcement actions appear there because the federal source published them. Do not use that information for purposes the FCRA reserves to consumer reporting agencies.
Intellectual property.
Subject to Section 8, the Service, the DiligenceDesk and Orygn marks, the user-interface design, the verdict-engine logic, the rendered audit reports, and all original content authored by Orygn (the “Orygn IP”) are owned by Orygn LLC and protected by United States and international copyright, trademark, and other intellectual-property laws. Nothing in these Terms grants you any ownership of the Orygn IP.
Federal data displayed by the Service is the work of the originating federal agency and is generally in the public domain or subject to the agency's own use terms. Federal data is not Orygn IP and is not licensed by Orygn to you under these Terms.
Open-source code disclosure.
A substantial portion of the DiligenceDesk codebase is published publicly on GitHub at github.com/OrygnsCode. Open-source portions are licensed under the terms posted in the relevant repository. Use of those repositories is governed by the open-source license attached to each repository, not by these Terms. These Terms govern your use of the hosted Service at diligencedesk.orygn.tech, including portions of the deployed Service that are not part of the public open-source code.
Third-party services.
The Service relies on third-party providers for hosting, security, and data access. These include but are not limited to Vercel (application hosting), Cloudflare (Turnstile bot mitigation, edge protection), Vercel KV / Upstash (caching and rate-limit state), and the federal data sources listed in Section 2. Your use of the Service is also subject to the terms and policies of those providers. Orygn is not responsible for third-party outages, errors, rate limits, or terms-of-service changes that affect the Service.
Disclaimer of warranties.
The Service is provided on an “as-is” and “as-available” basis. To the fullest extent permitted by law, Orygn LLC disclaims all warranties, express, implied, statutory, or otherwise, including without limitation the implied warranties of merchantability, fitness for a particular purpose, title, accuracy, completeness, currency, and non-infringement.
Orygn does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful code. Orygn does not warrant that any verdict, evidence record, or data field returned by the Service is accurate, current, or complete. Federal source data is subject to the originating agency's own latency, completeness, and correction processes; known data-lag issues exist for several upstream sources, including the DOL Wage and Hour Division. Limitation of liability.
To the fullest extent permitted by applicable law, in no event will Orygn LLC, its members, officers, employees, agents, contractors, or affiliates be liable to you or any third party for any indirect, incidental, consequential, exemplary, special, or punitive damages, including without limitation lost profits, lost revenue, loss of data, loss of goodwill, business interruption, procurement of substitute services, or damages arising from your reliance on a verdict or evidence record returned by the Service, even if Orygn has been advised of the possibility of such damages.
Notwithstanding anything to the contrary, Orygn's total cumulative liability to you for all claims arising out of or relating to the Service or these Terms, regardless of the form of action, will not exceed the greater of (a) the amount, if any, you have paid Orygn in the six (6) months preceding the event giving rise to the claim, or (b) one hundred United States dollars ($100.00 USD).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the limitations above apply to the maximum extent permitted by law.
Indemnification.
You agree to defend, indemnify, and hold harmless Orygn LLC, its members, officers, employees, agents, and affiliates from and against any claim, loss, damage, liability, cost, or expense (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your breach of these Terms, (c) your violation of any law or regulation in connection with your use of the Service, (d) your violation of any third-party right, including intellectual-property rights, or (e) your use of Service output for an FCRA-restricted purpose contrary to Section 6.
DMCA and copyright complaints.
Orygn respects intellectual-property rights and responds to clear notices of alleged copyright infringement under the Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe content available through the Service infringes your copyright, send a written notice to the contact address in Section 20 that includes:
- A physical or electronic signature of the copyright owner or authorized agent.
- Identification of the copyrighted work claimed to have been infringed.
- Identification of the material claimed to be infringing, with information sufficient to locate it.
- Your contact information (address, telephone, email).
- A statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law.
- A statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on the copyright owner's behalf.
Orygn may terminate Service access for users who are repeat infringers in appropriate circumstances.
Privacy and data handling.
The DiligenceDesk Privacy Policy describes how Orygn handles request metadata, IP addresses, Cloudflare Turnstile interactions, and federal-data caching, and explains why your audit history is stored locally in your browser rather than on our servers. The Privacy Policy is incorporated into these Terms by reference.
Modifications to these Terms.
Orygn may modify these Terms at any time by updating this page and the “Last updated” date. Material changes will be reflected in the date stamp at the top of the page. Continued use of the Service after the effective date of a modification constitutes acceptance of the modified Terms. If you do not agree to a modification, your remedy is to stop using the Service.
Termination.
Orygn may suspend or terminate your access to the Service at any time, for any reason or no reason, including for breach of these Terms, suspected abuse of rate limits or security controls, or any conduct that Orygn believes harms the Service, other users, or third parties. Sections that by their nature should survive termination (including Disclaimer, Limitation of Liability, Indemnification, Governing Law, and this sentence) will survive any termination of these Terms or your access to the Service.
Force majeure.
Orygn will not be liable for any failure or delay in performance caused by circumstances beyond Orygn's reasonable control, including without limitation acts of God, natural disasters, pandemic, war, terrorism, civil unrest, government action (including federal API shutdown or rate limiting), labor disputes, telecommunications or internet outages, or third-party hosting-provider failure.
Governing law and disputes.
These Terms are governed by the laws of the State of Texas, United States of America, without regard to its conflict-of-laws rules. The federal and state courts located in the State of Texas have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you and Orygn each consent to the personal jurisdiction of those courts.
If you are a U.S. federal, state, or local government entity, this Section applies only to the extent permitted by applicable law governing your engagement with private contractors.
Severability, assignment, waiver, entire agreement.
Severability. If any provision of these Terms is held unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
Assignment.Orygn may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law. You may not assign these Terms without Orygn's prior written consent.
No waiver.Orygn's failure to enforce any provision of these Terms does not waive Orygn's right to enforce that provision later.
Entire agreement. These Terms, together with the Privacy Policy and any other policies Orygn publishes on the Service, constitute the entire agreement between you and Orygn regarding the Service and supersede any prior agreements.
